PayWage App Terms and Conditions (Terms of use)
About This Website and Mobile Application
This website and mobile application are operated by PayWage PHP Inc. (“PayWage”, “we” or “us”) under the domain names www.paywage.ph and PayWage’s app (“PayWage Websites and App”, collectively, the “Platforms”). The Platforms, the functionalities and materials which may be accessed therein shall be referred to as the “Service” or “Services.”
By signing up or registering on the Platforms, availing of the Service, or using, accessing, viewing or otherwise relying on the information, graphics, and materials on the Platforms (“Materials”), you acknowledge that you have read and understood, and agree to be subject to these Terms of Use and PayWage’s Privacy Policy (collectively, the “Terms of Use”).
In addition to the terms in these Terms of Use, we may also require you to agree to supplemental terms for new products we may develop in the future. There may also be the terms and conditions offered by third parties, such as but not limited to our advertisers, our clients, our service providers, or such other counterparties (“Third Party Entities”) which may offer their own information, products and/or services (the “Third Party Services”) through the Platforms. If you wish to use said Third Party Services, your use of the same shall be governed by the terms and conditions of the relevant Third Party Entities.
Product Information
Material on the Platforms may contain general information about PayWage or related party products and services. Unless expressly stated otherwise, this information:
- does not constitute an offer or inducement to enter into a legally binding contract;
- does not form part of the terms and conditions for PayWage or related party products and services; and
- is not intended to be financial advice and does not take into account any user’s objectives, financial situation or needs.
All information is subject to change without notice. PayWage recommends that you seek independent advice before acting upon Material on the Platforms. For further information about a particular product or service please contact PayWage at info@paywage.ph.
Unless expressly agreed otherwise, access to certain functionalities, products and services on the Platforms may be restricted by Us and we may limit access to certain users.
Registration and security
In order to use the Platforms, PayWage may require you to create a PayWage Account. PayWage reserves the right, at its sole discretion, to refuse registration of a PayWage account.
Any such account is for your sole personal use, and you may not authorize others to use your account or otherwise transfer your account to any other person or entity without PayWage’s prior approval. Any transaction made using your account shall be attributed to you alone.
All information you submit during the registration and after must be truthful, and you may not use any alias or other means to mask your true identity. By creating a PayWage Account, using the Platforms, and availing of the Services, you warrant and undertake to:
- Provide complete and accurate information as you may be prompted by the PayWage App (“Registration Data”) and when making communications with PayWage;
- Maintain and promptly update your Registration Data, and any other information you provide to PayWage, and keep it accurate, current and complete; and
- Use the Platforms and the Service in accordance with all applicable laws, and these Terms of Use.
PayWage is entitled to rely on such information received from you until PayWage has received written notice from you of any change regarding such information.
By creating a PayWage Account, you warrant PayWage that you are at least 18 years old and have all the legal and mental capacity to act and enter into an agreement with PayWage and use the Platforms and the Services under all applicable laws.
Without limiting other remedies, PayWage reserves the right, at its sole discretion, without prior notice, to limit, modify, or terminate your access to the Platforms or your PayWage Account, issue a warning, temporarily suspend, indefinitely suspend your account and/or impose fees and penalties, and charges pursuant to these Terms of Use if:
- We gain knowledge and/or information that you have provided us with false or misleading Registration Data or created fraudulent, simulated and/or fake accounts;
- You create, forward, or otherwise use the Platforms for harmful, spam or fraudulent activities;
- We suspect that your account is being used in an abusive, unauthorized or fraudulent manner;
- Your use of the Platforms is or becomes violative of applicable laws and regulations;
- You otherwise violate or are in breach of these Terms of Use or the documents it incorporates by reference;
We reserve the right to (i) modify, change, delete, or add functionalities and features to our Services, or (ii) terminate or suspend access to the Platforms and use of the Services, at any time without assigning any reason. PayWage shall not be liable to you or to any other party for any damages, losses, costs, or expenses however caused by or arising out of our exercise of our right under this paragraph.
Protecting your account
You are responsible for the security of your username and password for your PayWage Account and will be solely liable for any use (including unauthorized use) of your PayWage Account under such username and password. You are solely responsible for the security of any mobile or other device through which you access your PayWage Account and will be solely liable for any use (including unauthorized use) of your PayWage Account through any device through which you have previously accessed your PayWage Account.
Disclaimer Of Third Party Services And Warranties
Third Party Services and Third Party Websites
To offer some portion of the Services, PayWage may enter into agreement/s with Third Party Entities, including but not limited to those you have entered into agreements with or have an existing contractual relationship with.
PayWage’s role in arrangements like this is limited to providing both you and the Third Party Entities with an information and communication platform and other related technology services. You agree and acknowledge that PayWage merely provides a technological solution which may allow you to exchange information with participants in the Platforms such as Third Party Entities.
Third Party Services will be conducted and performed solely by the Third Party Entities and/or their respective service providers. You understand and agree that PayWage does not provide the Third Party Services nor does PayWage warrant the quality or service of such Third Party Entities. PayWage disclaims any and all liability, including any express or implied warranties, whether oral or written, for such Third Party Services.
The Platforms may contain links to other products, services, apps, or websites operated by the Third Party Entities (“Third Party Websites”). PayWage does not endorse, approve of or recommend such Third Party Services and Websites, and is not responsible for the information, graphics and material they contain (“Third Party Material”).
When you follow a link on the Platforms, Third Party Material may be displayed in your browser framed by Material on the Platforms. Such displayed material is also Third Party Material for the purpose of these Terms of Use.
All offers to sell and statements relating to goods and services available on Third Party Websites and Third Party Materials are the responsibility of and given by the Third Party Entities operating such Third Party Websites. In so far as such offers and statements are restated on the Platforms, such offers and statements are made by the Third Party Entities. If you choose to engage or enter into an agreement with any Third Party Entities or use their Third Party Services, PayWage is not a party to such agreement, and the agreement will be directly between you and the relevant Third Party Entities or such other party.
Subject to any rights at law which cannot be excluded, PayWage makes no warranties or representations:
- about the quality, accuracy, merchantability or fitness for purpose of Third Party Material, Third Party Services, or products or services of other parties offered through a Third Party Website; or
- that Third Party Material does not infringe the intellectual property rights of any person.
PayWage may receive payments from Third Party Entities as a result of you accessing their Third Party Websites from the Platforms.
PayWage does not have any control over and makes no claim or representation regarding the Third Party Services, the Third Party Entities or any other services or products of other parties offered through Third Party Websites which you may avail. You undertake and warrant to review the applicable agreement, terms of service, and privacy policy of Third Party Entities before proceeding with any Third Party Services.
Platforms
The Platforms are not designed and not used as a tool to accept or store any electronic money or any monetary equivalents. It is not designed to perform or facilitate any financial transactions, money transfers, remittances, payments, and the like. The Platform is only an information platform.
While PayWage has made every effort to ensure that all information contained on the Platforms is free from error, PayWage does not warrant the accuracy, adequacy, suitability or completeness of any information or Material on the Platforms. Use of the Services, Platforms (including any Material, information or feature contained on the Platforms) is at your own risk. PayWage does not guarantee that the Services and the Platforms will be free from viruses, that the Platforms will be available, or that access to the Platforms will be uninterrupted.
You are responsible for taking appropriate precautions for the protection of your computer system and data.
Your use of the PayWage Services is entirely voluntary.
Limitation of Liability
- your use, misuse, or excessive use of the Platforms or your availment of the Services;
- access to your PayWage Account by a third party (whether authorized or unauthorized) using your password or any device through which you have previously accessed your PayWage Account; or
- your use of, or reliance on, any information, Material, Third Party Material, Third Party Service, or Third Party Website contained in or linked from the Platforms.
Indemnity
To the fullest extent allowed by the law, you agree to fully indemnify and release PayWage and the PayWage Group from any and all claims, liabilities, damages, losses, and expenses that may arise in connection arising out of or relating to:
- your use of, or conduct in connection with, the Services, the PayWage Account, and the Platforms;
- your violation of these Terms of Use;
- any third party access to your PayWage Account using your password or any device through which you previously accessed your PayWage Account; or
- your breach of any of your obligations, representations, warranties, and/or covenants in these Terms of Use;
Termination
Your use of and access to the Platforms may be terminated at any time by PayWage without notice. All restrictions, licenses granted by you and all disclaimers and limitations of liability by PayWage will survive termination.
You have the right to request the closure of your PayWage Account and the deletion of your personal data within our Platforms. You may submit the request for account closure and data deletion by navigating to Settings -> Security & Privacy in the PayWage App.
Upon receipt of your request:
- PayWage will immediately delete the personal data it processes for its own purposes as a Personal Information Controller, such as for platform improvement, analysis, and development;
- PayWage will transmit your request to the relevant Third Party Entities to whom PayWage acts as a Personal Information Processor for validation and handling.
Following the necessary confirmation from the Third Party Entities and in accordance with applicable laws and regulations, your personal data will be deleted accordingly, and your account will be closed. The process from submission of the request until completion may take up to thirty (30) business days
Jurisdiction
Unless otherwise stated, the information on the Platforms is provided in compliance with laws of the Republic of the Philippines and is only intended for persons within the Philippines. The Platforms may not comply with the laws of countries other than the Philippines and is not directed at, and should not be relied upon by, persons in any other country.
Unless otherwise stated, copyright in the Material on the Platforms is owned by or licensed to PayWage.
You must not use any Material, trademark, logos, or product or service name displayed on the Platforms in any way without PayWage’s express prior written consent.
Privacy And The Use Of The Website
Other than as detailed in these Terms of Use and PayWage’s Privacy Policy, PayWage does not collect any personal information about you when you use the Platforms unless:
- you or the party you have authorized provide it to us by completing an online application or online form or supplying us with your email address; or
- you log on and use one or more of the services available on the Platforms.
If you use a link from the Platforms to a Third Party Website, the Third Party Entity operating the said Third Party Website is responsible for the security and privacy of your information when you are viewing that Third Party Website.
PayWage’s collection and processing of your personal information is described in the PayWage Privacy Policy. In accordance with the Privacy Policy, and with your consent, we may collect information on how the Platforms are used by utilizing scripts which will allow us to track and record user behavior. Such data will be processed to understand and improve our Platforms, our products, and services, and to identify technical and usability issues. We will not process your personal information in ways incompatible with the said purpose and the purposes declared in the Privacy Policy.
Acceptance And Changes To Terms Of Use
These are the current Terms of Use. They replace any other terms of use for the Platforms published on the Platforms to date. PayWage may at any time vary the Terms of Use by publishing the varied Terms of Use on the Platforms. Any change which may substantially affect your privacy rights shall require us to properly notify you and get your consent, when necessary. You accept that by such publication on the Platforms, PayWage has provided you with sufficient notice of the variation. Your subsequent use of the Platforms constitutes acceptance of the varied Terms of Use.
The Terms of Use of the Platforms are in relation to the use of the Platforms and do not replace or supersede the Third Party Entities’ terms and conditions for the use of their services and products.
Any information provided about the Platforms is factual information only. It is important that you read the PayWage Terms of Use and our Privacy Policy (available from www.PayWage.ph) in full before you register for a PayWage account. It is also important that you read the terms and conditions offered by the Third Party Entities for availing of the Third Party Services.
Any violation of these terms may result in the termination of your access to the PayWage Services.
General
These Terms of Use are governed by the laws of the republic of the Philippines. All parties submit to the exclusive jurisdiction of the courts of the Philippines. Use of the Platforms is unauthorised in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.
The provisions of these Terms of Use are severable, and if any provision of these Terms of Use is held to be invalid or unenforceable, that provision may be removed, and the remaining provisions will be enforceable. PayWage may assign or novate these Terms of Use to a third party without your consent. In the event of an assignment or novation, all Users will remain bound by these Terms of Use.
